This Referral / Partner Agreement (the “Agreement”) is made and entered into on [Effective Date] by and between:

1. Purpose
1.1 The Partner shall, at its own expense and on a non-exclusive basis, identify and refer prospective clients (“Referrals”) to the Company for the Company’s products and/or services.
1.2 The Company shall be solely responsible for concluding contracts with Referrals and for all delivery, billing and support obligations.
2. Status of Partner
