Listed Public Shareholding Companies which subject to the Governance Rules and Corporate Discipline Standards
After greetings,
Circular concerning the necessary immediate disclosure of the board of directors’ decisions in relation to the conflict of interests transactions With reference to the above subject, and according to:
- Article 109 of the Federal Law No. 8 of 1984 concerning Commercial Companies.
- Item 10 of article 3 and item 1 of article 12/(bis) of the Ministerial Decision No. 518 of 2009
concerning Governance Rules and Corporate Discipline Standards.
- Item 11 of article 36 of the Authority’s Board of Directors’ Decision No. 3 of 2000 concerning the Regulation of Disclosure and Transparency.
All listed public shareholding companies subject to the Ministerial Decision No. 518 of 2009 concerning Governance Rules and Corporate Discipline Standards shall take the following procedures:-
