ANSWER

A civil company is a distinct legal and tax construct — it is neither a freelance arrangement nor a standard corporate entity. Understanding its status requires looking at two separate frameworks: civil law and corporate tax law.

Definition

A civil company is a contractual arrangement under which two or more persons agree to jointly contribute to a business venture of a financial nature. Contributions may take the form of property or services. The defining feature is joint participation in the profits and losses of the venture.

Status Under Civil Law

Pursuant to Article 92 of Federal Law No. 5 of 1985 on Civil Transactions Law, a civil company is recognised as a legal entity. It is not a freelance arrangement.

A freelance permit is issued to a natural person acting individually and does not create a shared legal structure. A civil company, by contrast, is formed by two or more persons and creates a distinct contractual entity with joint rights and obligations.
